1.INTRODUCTION

Welcome to the Products and Services operated by SPIREJOY LIMITED ("SPIREJOY"). These Terms of Use set forth the terms and conditions provided by SPIREJOY (The Google Developer Name of Us is SPIREJOY GAMES, hereinafter referred to as "We" or "Our"), including:

(1)Our Services (including on computers and mobile devices);

(2)This Website; and

(3)Any other applications, websites, Services or services that link to these Terms of Use.

Please read the Terms of Use carefully in conjunction with the Privacy Policy publicly posted on Our Website before using any of Our Products, Services, Services to be aware of your legal rights and obligations.

"Service" or "Services" means the Services provided on the SPIREJOY Services and/or the website with the address: spirejoy.com ('Website'), or/and the SPIREJOY application and/or any Products on mobile platforms (downloadable via Google Play and Apple Store). , Services integrated by SPIREJOY or/and the Partner's services which are also provided on the SPIREJOY Services.

Before participating in, using any Product, Service, Service, You need to read and agree to all of these Terms of Use and the Privacy Policy, especially the terms of disclaimer or limitation of Our liability, the terms limiting your rights as well as other separate terms.

In case You do not agree with any terms, conditions in these Terms of Use, Please do not use the Product, Service or Service, and immediately quit and completely remove that Product, Service or Service from your device

Each Product, Service or Service provided by Us has different requirements on the age of participation according to the law and you will only be able to participate in that Product, Service or Service when You meet the applicable age requirements.

Your participation in, use of the Products, Services or Services will be deemed as Your agreement to all the terms and conditions of these Terms of Use and the Privacy Policy, as well as other terms referred to in these Terms of Use and the Privacy Policy, together with any amendments, supplements from time to time.

You warrant the authenticity of the information self-declared on Our system and are fully responsible for ensuring compliance with the provisions, terms and conditions in these Terms of Use and Our Privacy Policy.

2.2 " Service Rules": means the terms and conditions specified in these Terms of Use and/or notices and news in the Service that We inform in the Service and/or on the Service Homepage.

2.3 "Account": is the SPIREJOY account registered and managed by You to use the Service.

2.4 "Data": is the information content created/generated during the process of Your participation and use of the Service recorded by the Service's server system.

2.5 "Personal Information": is information to identify a specific individual as recorded in Section 4 of these Terms of Use.

2.6 "User Generate contents (UGC)" refers to any materials such as comments, messages, images,  audio file, or other data created and shared by users through uploading, distributing, or streaming on the App while utilizing Spirejoy Services. This encompasses all forms of original content contributions made by users during their interaction with the platform's features. The perspectives shared by other users through our Services are independent and should not be interpreted as reflecting our company's views.

3.ACCOUNT & LOGIN

3.1 To use the Service, You need to have an account to log in to the Service. Account and login to the Service can be done through one of the following methods:

(1) Log in using Account:

Step 1: Player open the Spirejoy‘s Product and entered the login interface.

Step 2: Read the Privacy Policy&Terms of use carefully and if you accept all the terms and conditions, you shall continue to the account registration step.

Step 3: Click "Register" and fill in the account information and correct the information required in the statement.

Step 4: After completing all the above steps, you have completed the account information declaration and registration. Then you can login and participate in the Service

(2) Login by other methods:

Using a Facebook or Google account or other social network account (hereinafter referred to as Linked Account'), depending on the option provided, you will be able to log in to the Service, however, you need to fully comply with these Terms of Use, and the terms of use of Facebook, Google or the service provider where you create the Linked Account, and commit to be responsible for the use of the Linked Accounts to log in to the Service.

3.2 When registering an account, You must provide complete and accurate information about your account name, email address, etc, and agree to comply with all of our Terms of Use and Privacy Policy with the Products provided.

Note that creating an Account and naming an account must comply with the regulations stated in Section 4 of these Terms of Use.

You are responsible for reading and understanding the Terms of Use before using any Products, Services or Services provided by Us. Your use and/or continued use of the Products/Services/ Services, is recognized by Us as Your agreement to the Terms of Use as well as to any changes, modifications, additions to the Terms of Use. These Terms of Use are valid and cannot be changed, unless such changes are issued by Us.

You agree that it is the your responsibility to pay attention to, as well as check these Terms of Use regularly when using the Products/Services/ Services, and We are not obliged to send separate notices of adjustments, updates regarding changes to the Terms of Use or changes to separate terms and conditions therein. However, with significant changes, we will make every effort to notify you promptly. If you do not agree with the changes, you may discontinue using the Product/Service/ Service. Your continuation of use constitutes your agreement to the changes.

You may only use in Service virtual items to exchange for virtual items. Virtual items may only be used within the scope of the Service and for the purpose of the entertainment. You are not allowed to buy and sell virtual items in the Service for profit in any form and all virtual items in the Service are not allowed to be converted to legal currency. You are not allowed to receive virtual items in the Service from websites, emails, fraudulent accounts or illegal sources. If we detect You violating any of the regulations, We may delete/cancel the violating account without prior notice.

4.COLLECTION, USE & PROTECTION OF CUSTOMER INFORMATION&SDK

According to the provisions of local law and to best support you on issues related to your Account in the Service, when you create an account to use the Product/Service/ Service, You need to provide the following complete information:

In case you provide inaccurate or incomplete information above, We have the right to (i) refuse to provide the Product/Service to you; (ii) stop providing the Service to you or restrict or prohibit the use of some or all of the features of the account, delete the account data in the Service, delete the account; and/or (iii) refuse to receive, resolve your complaints related to the Service and/or your account in the Service.

We will apply necessary measures to secure your Personal Information; however, in some necessary cases, according to the provisions of law or at the request of a competent State Agency or Court, We will provide your Personal Information to the above Agencies.

You agree that, when using the Services/Products/ Services of Our Partners integrated on the SPIREJOY Services, you agree to allow Us to share your Personal Information when you use the Services/Products/ Services of Our Partners.

The naming of your Account, character name, group/guild name must comply with the following principles:

(1) Do not name any name that has content related to or makes others associated with the names of great people, government leaders at all levels, heroes in history;

(2) Do not name any name that has content related to events or content that is reactionary, anti-religious, provocative, advertising or contrary to local customs and culture;

(3) Do not name any name that has content that offends or provokes others in any form;

(4) Do not use any name that is destructive or discredits the Product/ Service as well as the publishing company strictly refrain from using any name that may cause others to misunderstand or associate the name(i.e. the character or clan that owns the name) with members of Our company or the company itself;

(5) Do not use any name that refers or implies sensitive parts of the body;

(6) Do not use any name that goes against local customs or cultural traditions;

Any violation will result in the deletion of the character, temporary suspension of the Account or dissolution of the group/gang. In the case of serious violations, We may lock/delete/cancel the Account of the violator without having to bear any legal obligations or complaints.

You clearly understand and agree that, We and/or third parties cooperating with Us may, based on the information provided by You, send advertising information, information on the operation of the Service through forms such as text messages, telephone, email or any other form in which You can receive information; in this case, the third party cooperating with Us (if any) also has the same obligation to protect Your Personal Information as Us.

You clearly understand and agree that, in order to avoid the case of loss, unwanted interference in the Account (such as being hacked), You will not disclose (whether accidentally or intentionally) information about your account, password in the Service to any third party, including your relatives; At the same time, apply reasonable measures to protect yours Personal Information. In any case, if you suspect that your Account has been logged in against your will, you may (i) immediately change your password and/or (ii) notify Us and take the necessary procedures to lock your Account to minimize damages to You in accordance with our customer complaint support process.

You clearly understand and agree that, in order to enhance the security and safety of the service, We have the right to apply one or several technical measures and/or software, applications into or next to the Service; however, the application of the above measures will not be considered a guarantee that your account will not be blocked or hacked. We are completely exempted from responsibility for these cases.

You understand and agree that, in order to improve the efficiency of the use of system resources in the event that you do not log in, use the Service account within six months from the last log in, We have the right (but not the obligation) to delete your entire Account in the Service along with all Your Data.

In order for Us to serve You better(for example, smooth the payment procedure), You hereby agree, expressly authorize right to us through the Service to collect technical information about your device or application on your device.

We will keep all such information confidential in accordance with our Privacy Policy.

5.SERVICES

When You have agreed and complied with the relevant laws and the Terms of Use, We grant You a non-exclusive, non-transferable, non-assignable and non-commercial right to use the services and features of the Service for personal purposes.

In addition to the use of the Service granted to you as here in Section 5, We reserve all intellectual property rights on the trademarks, Product source code, images, features, music in the Service along with other rights related to the Service and you shall not perform any other action other than the rights stated in Section 5 without Our prior written consent.

You understand and agree that:During the operation and provision of Products/Services/ Services, in order to best serve customers, We have the right to update, add, change, delete, remove one or several features, interfaces, functions of the Service without prior notice to you. In case you continue to use the Service, it is considered that you have agreed to all these changes of the Service; in case you do not agree, you need to immediately stop using the Service, do not log back into the

Service and completely remove the Service from your device, in which case, We will not have any responsibility for your Account and Data in the Service.

To ensure the speed and experience of You in the Service, We have the right to periodically or at any reasonable time delete old Data stored on the Service server.

We will apply necessary technical measures to support You to have the best experience when using the Product/Service/ Service; although in some unexpected cases, the Service may (i) be interrupted, (ii) have errors (bugs), (iii) lose or duplicate some features of the Service and/or Your account, in this case, We will apply all necessary measures (within our capacity) within a reasonable time to fix and You agree to exempt Us from all related responsibilities. All technical information, information on features, formulas, secret solutions of the Service are confidential information, therefore, We are not obligated to provide You with any of the above information in any form.

In order to provide the best Services/Products/ Services to You and continuously improve, We have the right to adjust, update or modify the settings of the relevant values and/or features of virtual units, virtual items, reward points in the Service that You have or are using without prior notice or needing your consent and You agree to release Us from all related responsibilities in accordance with the regulations on virtual units, virtual items, reward points in the Service and according to the law, the Service is provided to you for entertainment purposes along with your (entertainment) experiences in the Service, therefore, in consistent The Service is suspended or completely discontinued for any reason, We are not obligated to refund, compensate any cash or in-kind, money to You; however, in the event that the Service is suspended or completely discontinued, We will endeavor to notify You in advance within a reasonable period of time and have a plan to ensure Your rights in accordance with the law.

Promotional programs, events in the Service will only be officially announced on the Service Home Page and/or notified via the In- Service system; Therefore, for advertising information, promotional programs, invitations that do not come from the above-mentioned official sources, they may be intended to deceive, take over your account and We do not have any responsibility for You in this case We only accept payment through Our payment channel or the payment channel provided by Our partners that is introduced, published in the Service and/or on the Service Home Page; in case You use other payment channels, We will not have any responsibility for You. However, in any case after You have successfully paid, We have recorded the corresponding conversion units into Your account in the Service but then the payment service provider, payment intermediary requests a refund (due to a request or complaint from the cardholder), We are required to perform this refund according to the relevant regulations and will deduct the corresponding amount from Your Account, and other benefits that You have obtained from that payment. In case that deduction is not enough (because You have used it), We have the right to deduct it from the next times and/or withdraw the virtual items that You used the conversion units to obtain.

In addition, in some cases, depending on the severity of the violation, Your account may be permanently locked in relation to this behavior.

6.VIOLATIONS & REMEDIES

In addition to complying with the Terms of Use of the Service, You shall not perform any of the following acts:

1.Taking advantage of the use of the Product/Service to:

(1)Oppose the Local Authorites, harm national security, social order and safety; sabotage national solidarity;

(2)Propagate war, terrorism; cause hatred, conflicts between ethnicities, races, religions;

(3)Propagate, incite violence, sabotage, depravity, crimes, social evils, disrupt, destroy the nation's traditions and customs;

(4)Disclosing state secrets, military secrets, security, economic, foreign affairs and other secrets as prescribed by law;

(5)Providing information that distorts, defames, or insults the reputation of organizations, the honor and dignity of individuals;

(6)Advertising, propagating, buying and selling goods and Service services, especially prohibited goods and services; disseminating prohibited press, literary, artistic, and publication works;

(7)Impersonating organizations and individuals and disseminating false information, untrue information harming the legitimate rights and interests of organizations and individuals.

2.Performing acts that infringe upon the intellectual property rights of Us and the Developers to our products and/or our partners in relation to Products/Services/ Services, including the following acts:

(1)Deleting information related to rights, intellectual property rights on the Product, Modify, reverse engineer, recompile the code of the Product/ Service or use other means to discover the source code of the Product/ Service;

(2)Scan, inspect, test to detect or find bugs or flaws of the Product/ Service for illegal purposes, commercial purposes or any other purpose without the permission of the Owner/legitimate user of the Product/ Service;

(3)Copy, edit, add, remove, change the features or operational efficiency of the Product/ Service for data generated and stored at any point during the operation of the Product/ Service or the data of the servers and clients during the operation of the Product/ Service and the system data necessary to operate the Product/ Service, including but not limited to plug-ins, auto or other related systems connected to third-party tools without our prior written permission, Use, rent, lend, copy, edit, link, transfer, publish or create websites, microsites ... for digital content of intellectual property that We own or have the exclusive right to use, distribute, publish;

(4)Create websites, microsites related to the Product/ Service or similar or exactly the same as the Product/ Service,In relation to the operation and use of the Service or Illegal use of other players' Accounts and passwords.

3.Conducting the purchase, exchange of virtual units, virtual items, reward points in Services or Service accounts between players with money, physical objects Breaking the fairness of the Service by :

(1) taking advantage - whether intentionally or unintentionally - of errors in the Service, shortcomings in the Service's script, design for the purpose of cheating or any act that violates the Terms of Use of the Service;

(2) using third-party software, applications and/or devices to interfere with

the Service and/or the Service's server system or to change the normal Service results (hacking, cheating, bots...) and/or

(3) any act to gain more advantages than other players contrary to the Terms of Use.

4.Speculate, profit from virtual units, virtual items in the Service and/or use virtual units, virtual items created contrary to the Terms of Use. By any means or other to cheat, not comply with the Terms of Use for illegal profit.

5.Discuss or express political, religious, or gender views in the Service, Use foul language, swear words, and/or conduct, or speak words that insult the attendance, reputation, or dignity of any organization or individual, regardless of whether in the Service or outside the Service.

6.Perform acts of enticing, enticing, or promising to other players for the purpose of fraud.

Impersonate or intentionally mislead others into thinking that You are another player and/or others are not You in the Service.

7.Impersonate or intentionally mislead others into believing that You are an employee, worker or collaborator of Ours.

8.Have any behavior, words, gestures or attitudes that damage the reputation, letter of the Service and/or Us.

9.Perform acts that cause disturbances or disrupt security and order at the headquarters or any branch, representative office, business location of Us and/or our affiliates.

10.Have any words, gestures or actions that infringe on the body, reputation, honor, dignity or threaten Our employees, workers (regardless of whether they are seasonal employees, collaborators or official employees).

11.Other acts that (1) violate the law; (2) are contrary to local customs and traditions; (3) are contrary to the common rules of conduct of online video service users and/or the online entertainment industry.

For violations of the Terms of Use, We reserve the right to handle violations ourselves and/or through the Service's system and features, according to the degree of the violation, violations may be handled in one or more of the following forms:

(1)Warning: Applicable to first-time violations and causing little impact on the Service and/or other players.

(2)Severly Warning: Applicable to violations that have been warned but not corrected and/or repeated OR violated the provisions of these Terms of Use.

(3)Deduction and/or deletion of virtual units, virtual items in the Service: Applicable to behaviors that have been warned but not corrected and/or repeated AND/OR violated the provisions of these Terms of Use.

(4)Account blocking for a period of time (the specific period will depend on the behavior, the severity of the violation): Applicable to behaviors that have been warned AND/OR have been handled according to the provisions of these Terms of Use without remedy and/or re-offend OR violate the provisions of these Terms of Use.

(5)Permanent account blocking: Applicable to acts that have been handled according to the provisions of this Article without remedy and/or re-offend OR Violating the provisions of these Terms of Use.

(6)Transferring the file to the competent State agency to handle the violation or to prosecute criminally. Applicable to all violations with signs of criminality.

Despite the specific provisions above, in some special cases, we have the right to apply additional or simultaneous handling measures for the purpose of rand or ensure a healthy and fair Service environment.

In case We discover and/or receive complaints or denunciations related to Your violation of the Terms of Use and/or Your Service account, depending on the behavior and level of violation, We have the full right to handle it according to the Terms of Use.

At the same time, We have the right (but not the obligation) to publish Your account name the handling method on the Service Home Page, notify the Service to other players and/or other information channels that We can access, and inform other Service players.

7.RESOLVING COMPLAINTS AND DENUNCIATIONS RELATED TO THE Service

Any complaints, denunciations or reflections related to the Service will only be received by Us and responded to via the online Customer service in the Service or at the email address: official@spirejoy.com and in accordance with Our customer service and inquiry procedures at the time of receiving the complaint.

To make a complaint, denunciation or reflection related to the Service, Your account must be a fully identified account so that We can receive and contact You. In case Your account has not been fully identified or We have reasonable basis to believe that the information You provide is inaccurate, We have the right to refuse to resolve Your complaint or denunciation until You provide adequate and accurate information.

You agree that Our response to Your complaints and accusations through the Online Customer Service is Our final and official decision in accordance with relevant local Law and its amendments and supplements from time to time.

8.INTELLECTUAL PROPERTY RIGHTS

All Products/Services and related documents are the intellectual property of Us and/or the Service Developer, therefore, when We grant you the right to use the Service service as stated in Section 5, you understand that you are only allowed to download the installation package to your device, install and use it without performing any action to change the status of the Product or infringe the intellectual property rights of Us and/or the Developer.

You Consent that all Data generated(UGC is included) during Your use of the Product/Service/ Service is solely owned by Us; Accordingly, We have the full right to store,use, and process this Data.

9.COMPLIANCE WITH THE LAW

You clearly understand and agree that You will (1) fully comply with the provisions of local law related to the Product/Service/ Service, (2) fully comply with the provisions of the law of the place

you access, use the Product/Service/ Service or the law of the country of your nationality and (3) be solely responsible for any consequences of non-compliance with any provisions of the place where you access, use the Product/Service/ Service and release Us from all and any related liability.

In the event that We receive any complaint, notice or request relating to your failure to meet the above requirements and/or We have grounds to reasonably infer based on the information available to Us, We have the right to (1) stop providing the Product/Service/ Service to You without prior notice or any responsibility to You, and/or (2) block access from a country that does not allow the use of that Product/Service/ Service.

10.APPLICABLE LAW&DISPUTE RESOLUTION

These Terms of Use shall be governed by and construed in accordance with the laws of the HongKong on all matters and aspects related to these Terms of Use.

Any dispute arise according this TERMS OF USE shall be governed by HONG KONG INTERNATION ARBITRATION CENTRE(HKIAC), apply the arbitration rules of when dispute submitted to HKIAC and the Arbitration Result shall be final.

11.MODIFICATIONS TO THE TERMS OF USE AND EFFECTIVENESS

These Terms of Use shall be effective from the date of updated, until replaced or revoked in writing, and supersede all previous Terms of Use relating to the Product/Service/ Service.

You agree that We have the right to modify, supplement part or all of the provisions in these Terms of Use without your prior consent. In case You do not agree with the amendments and supplements, You have the right to terminate the use of the Product/Service/ Service before the amendments and supplements take effect; in case You continue to use the Service Product/Service, it is understood that You have agreed with all the terms of the such amendments and supplements.

In case of any conflict between these Terms of Use and the Terms of Use of Linked Accounts (if any), the provisions of these Terms of Use shall prevail.

In case of any conflict between these Terms of Use and our official notice, the content of the official notice shall prevail.

12.DISCLAIMER OF WARRANTY

This Service is meant for adult players of age 18 or older and does not provide real money gambling or opportunities to win cash or prizes. The Service's virtual assets have no value in the real world. Playing or excelling in this Service does not indicate future success in real money gambling.

13.REMAINING TERMS

The determination by a competent state agency of one or more provisions of these Terms of Use to be invalid shall not affect the validity of the remaining provisions, which shall remain binding on You and Us.

Our failure or delay in exercising any right or remedy under these Terms of Use or the Service Rules shall not be deemed to be a waiver of any right or remedy under these Terms of Use, and any exercise of any right in whole or in part shall not preclude the exercise of any other right or remedy under these Terms of Use.
